Terms & Conditions

These Terms & Conditions ("Terms") govern the use of the KabCore HR System ("the Service"), a cloud-based human resource management platform. By creating a business account, clicking "accept", or using the Service, you agree to be bound by these Terms on behalf of the business you represent.

1. Electronic acceptance

This agreement may be concluded electronically. Under the Electronic Transactions Act, 2008 (Act 772), an electronic acceptance has the same legal effect as a written signature. When you tick the acceptance box at sign-up, we record the date, time and the version of these Terms you accepted against your company account.

2. Eligibility and authority

You may only create a business account if you are at least eighteen (18) years of age and you are duly authorised to bind the business you register. The business must be lawfully constituted in Ghana, whether registered under the Companies Act, 2019 (Act 992), as a sole proprietorship, partnership, or a public institution. You are responsible for the accuracy of the business details you provide.

3. Accounts, access codes and security

Each business account is identified by a unique company access code. You are responsible for keeping that code, your administrator credentials and any invitation links confidential, and for all activity carried out under your account. You must notify us immediately of any suspected unauthorised access, and you must remove the access of employees who leave your organisation.

We may suspend an account where we reasonably believe it is being used unlawfully, that credentials have been compromised, or that continued access presents a security risk to other customers.

4. Subscription, trial and payment

New businesses receive a free trial period stated at sign-up. After the trial, continued use requires a paid subscription in the plan and billing period you select. All fees are quoted in Ghana Cedis (GHS) and are payable in advance through our payment processor, Paystack, by card or mobile money.

Card and mobile money payments are processed under the Payment Systems and Services Act, 2019 (Act 987). We do not store your full card or wallet credentials. Fees are exclusive of any applicable taxes, levies or charges imposed by law, which are payable by you. Except where the law requires otherwise, fees already paid are non-refundable.

Where your subscription expires, access to the workspace is suspended without deleting your data. Full access returns immediately upon renewal.

5. Customer data and your responsibilities

Your business is the data controller of the employee and HR records you place in the Service; KabCore HR System acts as a data processor on your documented instructions. You are responsible for:

(a) ensuring you have a lawful basis to collect and process every employee record you upload; (b) giving employees the notices required by the Data Protection Act, 2012 (Act 843) and applicable employment law, including the Labour Act, 2003 (Act 651); (c) the accuracy, quality and legality of the data you enter; and (d) obtaining any consent needed for monitoring, medical, biometric or financial information.

We process your data only to provide, secure and support the Service, and as described in our Privacy Policy.

6. Acceptable use

You must not use the Service to:

(a) process personal data without lawful authority; (b) attempt to access another company's workspace, or probe, scan or breach the security of the Service; (c) upload malware or code designed to disrupt it; (d) scrape, copy or resell the Service or its data; (e) impersonate any person or misrepresent your authority; or (f) breach any law of Ghana, including the Cybersecurity Act, 2020 (Act 1038) and the Anti-Money Laundering Act, 2020 (Act 1044).

7. Intellectual property

The Service, its software, design, trade marks and documentation remain our property or that of our licensors. We grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. Your business data remains yours.

8. Availability, support and changes to the Service

We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. We may perform maintenance, and we may improve, change or withdraw features, giving reasonable notice of any material change that reduces core functionality.

9. Suspension, deletion and restoration

You may stop using the Service at any time. We may suspend or close a workspace for material breach of these Terms, non-payment, or where required by law. Where a workspace is deleted by us, it is retained in a restoration bin for sixty (60) days, during which it can be restored in full; after that period the deletion becomes permanent. 10. Disclaimers and limitation of liability

The Service is provided on an "as is" basis to the fullest extent permitted by law. We do not provide legal, tax, payroll or accounting advice, and you remain responsible for compliance with tax, SSNIT, GRA and labour obligations. To the maximum extent permitted by the laws of Ghana, our total aggregate liability arising out of or in connection with these Terms is limited to the fees you paid in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, loss of profit, or loss of business opportunity.

11. Indemnity

You agree to indemnify and hold us harmless against claims, losses and costs arising from your breach of these Terms, from data you process unlawfully, or from a claim by an employee or third party relating to data you entered into the Service.

12. Confidentiality

Each party will keep the other's confidential information secret and use it only for the purposes of these Terms, except where disclosure is required by law or a regulator.

13. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Ghana. The parties will first attempt in good faith to resolve any dispute through negotiation within thirty (30) days, and may then refer it to mediation. Failing resolution, the dispute is subject to the exclusive jurisdiction of the courts of Ghana.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified in the application or by email before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms, and the version you accepted at sign-up is recorded on your account.
